This Service Agreement ("Agreement") is between Crash Proof Digital LLC, d/b/a Praise Picker, a Georgia limited liability company, 4062 Peachtree Road NE, Ste A615, Atlanta, GA 30319 ("Praise Picker," "we"), and the business named on the order form, invoice, or signature block ("Client," "you"). It takes effect when you check out online, sign, or pay your first invoice.
1. Services
We provide the package and tier on your order form, invoice, or written quote: Reputation Engine (review requests by text and email, Google Business Profile connection, AI-drafted review replies, private feedback routing, review widget, monthly report), AI Chat Bot (website chat agent, text follow-up, optional Facebook/Instagram inbox, lead qualification, calendar booking, human handoff), AI Receptionist (inbound AI voice agent after-hours/overflow or 24/7, call qualification and booking, missed-call text-back, call summaries, live transfer), or the Complete Package (all three). Each comes in Starter, Growth, and Pro tiers. Work outside that scope, such as website rebuilds, paid ads, or cold outbound calling, is not included unless added in writing. We deliver the Services through third-party platforms including HighLevel, Stripe, telephone carriers, and Google, and you receive a client account to view leads, conversations, reviews, and reports.
2. Fees and payment
Setup fee. A one-time fee for the build: connecting your Google profile, phone, website, and calendar; writing messages and scripts in your voice; training the agents; and testing before launch. Due before work begins.
Subscription. Billed monthly, or yearly at 10 times the monthly price (2 months free), in advance, to the payment method on file, and renews automatically until cancelled.
Usage. AI Receptionist and Complete Package plans include 300 AI voice minutes per month. Extra voice minutes, text messages, phone numbers, and carrier registration fees are billed at our cost with no markup and shown in your account.
Price changes. We give at least 30 days' written notice before changing your subscription price.
Late payment. If a payment fails and is not resolved within 7 days of our notice, we may pause the Services until it is paid.
Taxes. Fees do not include sales or similar taxes, which you pay where they apply.
Billing questions. Email ashland@crashproofdigital.com before filing a chargeback; we respond within 5 business days.
3. Term, cancellation, and refunds
Month to month (or year to year on yearly billing), no long-term contract.
Cancel any time by email. Service and billing continue through the end of the current paid period.
The setup fee is non-refundable once onboarding work has started. If you cancel before we begin, we refund it minus any third-party costs already paid.
Subscription fees are not refunded for partial periods; yearly plans cancelled early are not refunded for unused months.
Either party may end this Agreement immediately for a material breach not fixed within 10 days of written notice. We may suspend the Services immediately if use violates law, carrier rules, or platform policies.
After cancellation we export your contacts, reviews, and conversation records on request within 30 days, and port provisioned phone numbers to you where the carrier allows.
4. Your responsibilities and compliance
Onboarding. Complete onboarding and grant the access it lists (Google Business Profile, website, calendar, phone) within 10 business days. Launch dates move with any delay on your side.
Accurate information. Keep your services, prices, hours, and policies accurate, approve chat and voice scripts before launch, and tell us when anything changes.
Consent to message. Only provide contacts who are your actual customers or who asked to hear from you, with the consent the law requires (including the TCPA and CAN-SPAM). Opt-outs are honored automatically.
Texting registration. You authorize us to register your business for carrier texting approval (A2P 10DLC) and will provide the legal name, EIN, and contact details it requires. Texting starts only after carriers approve; email requests can start sooner.
Reviews. Review requests go to all customers, not only happy ones. We do not write fake reviews, offer incentives for reviews, or block unhappy customers from posting publicly, consistent with FTC rules and Google's policies.
Call recording. The AI Receptionist tells callers they are speaking with an automated assistant and that calls may be recorded. You are responsible for any further notice your state requires.
Regulated industries. If your business is regulated (healthcare, legal, financial, or similar), tell us before launch; you remain responsible for your industry's requirements.
5. Data, ownership, and confidentiality
You own your customer contacts, reviews, call recordings, transcripts, and messages. We use them only to provide the Services and never sell them.
We own our platform setup, templates, automations, prompts, and scripts; you have a license to use what we build while subscribed. Content written specifically about your business (FAQs, service descriptions) is yours to keep.
You let us use your business name, logo, and content to deliver the Services. We name you as a client only with your written permission.
Each party keeps the other's non-public business information confidential during the Agreement and for 2 years after.
We use reasonable safeguards and will notify you without undue delay if we learn of unauthorized access to your data. Our Privacy Policy also applies.
6. Limits and legal terms
No guaranteed results. We do not guarantee a number of reviews, star ratings, leads, bookings, or revenue.
AI output. Chat and voice agents can make mistakes. They work from information you approve and hand off to a person on emergencies or on request. You remain responsible for decisions and commitments made to your customers.
Third parties. We are not responsible for outages, policy changes, or carrier filtering by Google, HighLevel, Stripe, phone carriers, or other providers.
Limit of liability. Neither party is liable for indirect, incidental, or lost-profit damages. Our total liability is limited to the fees you paid in the 3 months before the claim.
Indemnity. You defend us against claims arising from your customer data, lack of messaging consent, or information you provided; we defend you against claims that our own materials infringe someone else's rights.
Governing law. Georgia law governs. Disputes go to the state or federal courts in Fulton County, Georgia, after both parties first try in good faith to resolve them by email within 30 days.
Whole agreement. This Agreement plus your order form, invoice, or written quote is the entire agreement. Changes must be in writing. Electronic acceptance at checkout or e-signature counts as signing.
